Kratos guides its clients through every step of the sale process. Typical steps in a seller advisory or recapitalization engagement include:

  • Economic Reality Analysis©
    Kratos invests significant time with clients developing a deep understanding of their goals and exploring all alternatives.  On an ongoing basis, we review current market conditions, expected valuations and the issues and process associated with executing any transaction.
  • Pre-Launch
    We conduct extensive company and industry due diligence to understand the client’s strengths and weaknesses, opportunities, competitive climate and macro industry trends.  Following due diligence, we work with the client to prepare comprehensive marketing materials, tailor an appropriate process (ranging from very targeted to relatively broad), and identify the most appropriate financial and strategic buyers.
  • Transaction Execution 
    Kratos manages all phases of the process, including: Contacting potential buyers, distributing marketing materials, managing the due diligence process for a limited number of parties and advising in the selection of the winning bidder and execution of a letter of intent.
  • Closing    
    We work closely with our clients to manage attorneys, accountants and all other parties who are involved in the final stages of the transaction.  By leveraging our experience in closing dozens of transactions, Kratos principals work to keep both parties focused on the ultimate goal of achieving the optimal outcome.

Confidentiality Governs Everything We Do 

Our clients remain anonymous, until their identity is efficacious to the deal, and the potential buyer has executed a Non-Disclosure Agreement. Communication is strictly between principles. We disclose nothing to anyone and in any way, without prior approval from the business owner.

We screen potential acquirers, before contacting them. Unless otherwise specified by our client, we exclude sensitive parties, such as competitors and vendors. Communication is limited to ultimate decision-makers.

When facilitating meetings between the prospective buyer and our client, the acquirer is required to remain incognito while touring the company. Unless initiated by the seller, we forbid communication with employees. In any case, venues may be on or off site.

We preclude audits and financial reviews, until there is agreement over terms, a Letter Of Intent issued, or a contract drawn and signed.
